Terms of Service
Last updated: October 14, 2026
These Terms of Service ("Terms") govern your access to and use of the Collabily mobile app and related services (the "Service"), operated by Busfluence LLC, a New York limited liability company doing business as Collabily ("Collabily," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use the Service.
1. Eligibility
You must be at least 18 years old to create an account or use the Service, including sending or receiving payments through the Service. By using the Service, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms. If you're using the Service on behalf of a business, you represent that you're authorized to bind that business to these Terms.
2. Your Account
You're responsible for keeping your login credentials secure and for all activity that happens under your account. Let us know right away if you believe your account has been compromised. You agree to provide accurate information when creating and maintaining your profile.
3. Description of the Service
Collabily is a marketplace that connects businesses with influencers for sponsored content collaborations and partnership posts. Businesses can discover influencers, send collaboration offers, and purchase partnership content. Influencers can build content packages, respond to offers, and submit deliverables for approval.
Collabily facilitates the connection and payment between businesses and influencers, but the underlying collaboration agreement is between the business and the influencer. Collabily is not a party to that agreement and isn't responsible for the quality, legality, or outcome of the content or arrangements agreed between users.
4. Payments & Payouts
Payments made by businesses through the Service are processed by Stripe, Inc. Influencer payouts are handled through Stripe Connect. By using payment or payout features, you also agree to Stripe's terms of service and, where applicable, the Stripe Connected Account Agreement.
Prices for collaborations and partnership content are set by the influencer or agreed between the business and influencer through the Service. Collabily is not responsible for setting or guaranteeing the value of any transaction. Once a business has approved the content and paid, that transaction is generally final; refund requests are handled on a case-by-case basis at Collabily's discretion, subject to Stripe's own dispute and chargeback processes.
How payment works. For a collaboration, the business pays only after it has approved all of the submitted content; for a partnership post, the business pays when it buys the post. Payments are processed by Stripe. When a payment succeeds, Stripe sends the influencer's share directly to the influencer's connected Stripe account and Collabily keeps its platform fee; Collabily does not hold the influencer's share. Until payment is made, submitted content is shown with a preview mark, and the clean file is released only once payment succeeds. If a payment is refunded, the refund is taken back from the influencer's share and Collabily's fee for that payment is returned to the business. A business's bank or card issuer may also dispute a charge, in which case Stripe's dispute process applies.
Independent contractors and taxes. Influencers are independent contractors of the businesses they work with, not employees, agents, or partners of Collabily or of the business. Each user is responsible for their own taxes, including any tax reporting that applies to money they receive.
Platform fees. Collabily charges a platform fee on payments made through the Service. The fee that applies to a payment is shown in the app before a business confirms that payment, and in an influencer's earnings breakdown for that payment. For a limited launch period, Collabily is waiving the platform fee for influencers on offers and partnership posts created during that period. The end date of the launch period is shown in the app (Settings > Payments). The platform fee applies to offers and partnership posts created on or after that date, at the rate shown on the offer or post. An offer or post created during the launch period keeps its waived fee, even if it is paid after the launch period ends. This waiver is a temporary promotion, is not a guarantee of any future pricing, and may be ended or changed by Collabily at any time, with changes applying to offers and posts created after the change. Collabily may also change its fees from time to time; changes apply to offers and posts created after the change and will be communicated as described in Section 10.
5. Your Content and Licenses
You retain ownership of the content you create and upload to the Service. By posting content, you grant Collabily a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute that content as necessary to operate and promote the Service. You're solely responsible for the content you post and confirm that you have the rights necessary to share it.
Partnership posts. An influencer who has already created content for or about a business can send it to that business as a partnership post, with a price. The business can choose to buy it. When the business completes payment for a partnership post, the influencer grants that business a non-exclusive, worldwide license, with no end date, to use, reproduce, display, and distribute the purchased content on the business's own websites, social media channels, and marketing materials, including making reasonable edits such as cropping or resizing. The influencer keeps ownership of the content. The license does not include the right to resell, sublicense, or transfer the content on its own, or to use the influencer's name or likeness other than as they appear in the content. Before payment, previews are for evaluation only and may not be saved, shared, or used. Collabily does not own, sell, or license the content; the license is between the influencer and the business.
Collaborations. For a collaboration, the rights in the finished content are as agreed between the business and the influencer in the offer. If the offer doesn't say, the business receives the license described above once the content is approved and paid for.
6. Acceptable Use
You agree not to:
- Post content that is unlawful, fraudulent, harassing, hateful, or infringes on someone else's rights
- Post sexually explicit or graphically violent content, or content that shows nudity other than in a clearly non-sexual context
- Impersonate another person or misrepresent your affiliation with a business or influencer
- Attempt to circumvent payments made through the Service, or solicit payment outside the Service for arrangements made on Collabily
- Use the Service to send spam, malware, or engage in any activity that disrupts or interferes with the Service
- Scrape, reverse-engineer, or misuse the Service beyond its intended purpose
We may suspend or terminate accounts that violate these Terms.
Advertising disclosures. Sponsored content must follow the law on advertising disclosures, including the U.S. Federal Trade Commission's Endorsement Guides. Influencers are responsible for clearly disclosing a paid relationship in the content they publish (for example with #ad or the platform's paid-partnership label), and businesses must not ask an influencer to hide or omit a required disclosure.
Copyright complaints. If you believe content on Collabily infringes your copyright, email support@collabily.com with a description of the work, where it appears, your contact details, and a statement that you have a good-faith belief the use isn't authorized. We may remove the content and suspend repeat infringers.
If you encounter a user or content that violates these Terms, you can report it directly from that user's profile, or block them to stop them from contacting you or appearing in your Feed and search results. We review reports and take action, including content removal or account suspension, at our discretion.
7. Account Termination
You may delete your account at any time from Settings → Privacy & Accessibility → Delete Account. We may suspend or terminate your access to the Service if you violate these Terms, or as needed to protect the Service, other users, or Collabily.
You can't delete your account while you have a collaboration in progress (accepted but not yet paid); finish or cancel it first. Either person can cancel a collaboration at any time before content has been submitted, and nothing is charged in that case. When you delete your account, offers you sent that haven't been accepted are withdrawn, and records of completed collaborations and payments are kept as needed for the other person's records and for tax, accounting, and legal purposes. Sections that by their nature should survive (including payments owed, content licenses already granted, disclaimers, limits of liability, and governing law) survive termination.
8. Disclaimers
The Service is provided "as is" without warranties of any kind, express or implied. Collabily doesn't guarantee that the Service will be uninterrupted, error-free, or that any collaboration, offer, or transaction will result in a particular outcome.
9. Limitation of Liability and Indemnification
To the fullest extent permitted by law, Collabily will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, or from disputes between users, even if we've been advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid to Collabily, if any, in the twelve months before the claim arose.
Indemnification. You agree to defend and indemnify Collabily against claims, losses, and costs (including reasonable legal fees) that arise from your content, your violation of these Terms or the law, or your dealings with another user.
10. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we'll notify you through the app or by other reasonable means before the changes take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.
11. Governing Law and General Terms
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Westchester County, New York, and you consent to those courts.
These Terms are the entire agreement between you and Collabily about the Service. If a part of them is found unenforceable, the rest stays in effect. You may not transfer your rights under these Terms without our consent; we may transfer ours as part of a business sale or reorganization. If we don't enforce a right, that isn't a waiver of it.
